Geonome.ai Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Geonome.ai website, application, analytics platform, and related services, collectively referred to as the "Services."

Geonome.ai is currently operated from India by its founder while the legal operating entity is being established. Once an operating entity is formed or designated, these Terms may be updated to identify that entity. In these Terms, "Geonome," "we," "our," and "us" refer to the operator of Geonome.ai.

By creating an account, purchasing a subscription, accessing, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

If you use the Services for an organisation or another person, you confirm that you have authority to accept these Terms on their behalf. In that case, "you" includes that organisation or person.

Some provisions of these Terms, including billing, subscription, renewal, cancellation, and refund provisions, apply only if and when paid Services are offered or purchased.

1. Business Use and Eligibility

The Services are intended for business and professional use. They are not intended for personal, family, or household use.

You must be at least 18 years old and legally capable of entering into a binding contract.

You may not access or use the Services if:

  • You are prohibited from doing so under applicable law;
  • Your access would cause Geonome to violate applicable law;
  • You are subject to sanctions or trade restrictions that prohibit the provision of the Services; or
  • We previously suspended or terminated your access for violating these Terms, unless we have expressly authorised renewed access.

Unless we expressly agree otherwise in writing, the Services do not include a data processing agreement, service-level agreement, business associate agreement, security addendum, custom procurement terms, or other enterprise or regulated-industry terms.

You must not use the Services in a manner that requires separate legal, regulatory, data-processing, security, procurement, or compliance terms unless those terms are in place.

2. Accounts and Organisations

You must provide accurate and current account information and keep it updated.

You are responsible for:

  • Maintaining the confidentiality and security of your credentials;
  • Using reasonable safeguards to prevent unauthorised access;
  • All activity occurring through your account or organisation;
  • Ensuring that your users comply with these Terms; and
  • Promptly notifying us at support@geonome.ai if you suspect unauthorised access or misuse.

An organisation may have one or more administrators. The person who creates an organisation is initially an administrator but does not receive any permanent or superior ownership status solely because they created it.

Administrators may, subject to the functionality made available by Geonome:

  • Invite and remove users;
  • Assign or change roles;
  • Add or remove other administrators;
  • Configure workspaces;
  • Manage plan usage;
  • Access organisation information;
  • Change organisation settings; and
  • Take other actions available to administrators.

An administrator, including the original organisation creator, may be downgraded or removed by another authorised administrator.

We may rely on instructions given by any current administrator. You are responsible for ensuring that administrator permissions accurately reflect your organisation's authority arrangements.

Geonome is not responsible for disputes between founders, employees, contractors, agencies, clients, former personnel, or other persons concerning control of an organisation or account.

If an authority dispute arises, we may temporarily restrict administrative changes or account access while requesting information that we reasonably consider necessary to determine the appropriate course of action. We are not required to resolve internal organisational disputes.

You authorise Geonome personnel and service providers to access your account and Customer Content where reasonably necessary to provide support, investigate security incidents or suspected abuse, maintain or troubleshoot the Services, enforce these Terms, or comply with applicable law. Any such access will be subject to our Privacy Policy and applicable confidentiality obligations.

3. Agency Use

Agencies and other service providers may use the Services on behalf of their clients, provided that they have the authority necessary to do so.

An agency may:

  • Create and configure client workspaces;
  • Allocate available prompts, users, features, and other plan entitlements among its clients;
  • Invite authorised client representatives where the Services permit;
  • Use Geonome reports and outputs in providing services to clients;
  • Share reports, dashboards, and exports with clients; and
  • Determine its own fees and commercial arrangements with its clients.

The agency remains responsible to Geonome for:

  • Subscription fees and other charges;
  • The activities of its users and clients;
  • Instructions and information submitted through its account;
  • Ensuring that it has the necessary client permissions;
  • Compliance with these Terms; and
  • Its contracts, representations, and obligations to its clients.

Unless we expressly agree otherwise in writing, an agency may not:

  • Represent that Geonome has entered into a direct contract with its client;
  • Grant rights exceeding the agency's own rights under its subscription;
  • Sublicense or resell the underlying Geonome platform as a standalone product;
  • Provide unauthorised access to the Services;
  • White-label the Geonome application;
  • Represent the Services or underlying technology as its own; or
  • Make commitments on behalf of Geonome.

4. Plans, Subscriptions, and Billing

Plan terms

The price, billing period, features, usage limits, and other entitlements of a plan are those displayed when you subscribe, renew, upgrade, downgrade, or otherwise change your plan.

Detailed plan entitlements may be described on our pricing page, checkout page, account interface, order confirmation, or other plan documentation presented to you.

We may offer monthly, annual, trial, free, promotional, usage-based, or other plans. The availability and details of plans may change over time.

Plan-specific terms

Your use of a plan is subject to the plan details, limits, entitlements, billing period, pricing, usage rules, and other plan-specific terms presented when you subscribe, renew, upgrade, downgrade, or otherwise change your plan.

Plan-specific terms may be shown on the pricing page, checkout page, account interface, order confirmation, plan documentation, or other purchase or subscription flow.

If plan-specific terms conflict with these Terms, the plan-specific terms control only for the specific plan, subscription, entitlement, usage limit, billing, or purchase matter to which they apply. These Terms continue to apply to all other matters.

We may update plan terms for future purchases, renewals, upgrades, downgrades, add-ons, new features, or additional usage, subject to the notice rules in these Terms where applicable.

Advance payment and automatic renewal

Paid subscriptions are charged in advance for the applicable billing period.

Unless stated otherwise when you subscribe, paid subscriptions automatically renew at the end of each billing period until cancelled.

By purchasing a subscription, you authorise our merchant of record and its payment providers to charge the applicable recurring fees, taxes, and other disclosed amounts using your selected payment method.

Automatic renewal and recurring charges may be subject to payment-provider, card-network, bank, regulatory, or merchant-of-record requirements. If a recurring charge cannot be processed automatically, you may need to complete a payment confirmation, update your payment method, or renew manually.

Merchant of record

Payments may be processed by a third-party merchant of record that acts as the seller for the transaction and handles matters such as payment processing, invoicing, applicable taxes, refunds, and chargebacks.

Your purchase may also be subject to the merchant of record's checkout terms, payment terms, refund mechanics, tax handling, and privacy policy.

These Terms govern your use of the Services. Where a merchant of record is used, the merchant of record's terms may govern payment processing, tax collection, invoicing, chargebacks, refunds, and transaction administration.

Taxes

Prices may exclude taxes unless expressly stated otherwise.

You are responsible for taxes, duties, levies, or similar governmental charges applicable to your purchase, except for taxes imposed on Geonome's income.

Our merchant of record may calculate, collect, and remit applicable taxes.

Price changes

We may change prices at any time for:

  • New subscriptions;
  • Plan changes;
  • Add-ons;
  • Additional usage;
  • New products or features; and
  • Future purchases.

A price change will not alter the fees for a subscription period that you have already paid for.

If we increase the renewal price of your existing subscription, we will notify you at least 30 days before the first renewal charged at the new price.

If that renewal is scheduled to occur less than 30 days after notice is given, the existing price will apply to that renewal and the new price will apply from the following renewal.

You may cancel before the new price takes effect.

We may, but are not required to, preserve previous pricing, features, limits, or plan terms for particular customers or groups of customers. Any grandfathering or special pricing may be changed or withdrawn prospectively unless we expressly agree otherwise in writing.

Failed payments

If a payment fails, Geonome or its merchant of record may retry the payment.

If an amount remains unpaid, we may:

  • Restrict or suspend access;
  • Pause processing;
  • Downgrade the account;
  • Disable paid features;
  • Terminate the subscription or account; or
  • Take other reasonable steps to collect or prevent additional unpaid usage.

You remain responsible for charges incurred before suspension or termination.

We do not promise a fixed payment grace period.

Billing disputes

You must notify us of any billing error or disputed charge within 30 days after the charge or invoice date.

Failure to notify us within that period does not affect any right that cannot lawfully be waived, but may prevent an adjustment, refund, or credit where permitted by applicable law.

You remain responsible for paying all undisputed amounts when due.

Upgrades and downgrades

An upgrade may take effect immediately or at another time shown when the change is requested. Additional fees may be charged or prorated by the merchant of record.

A downgrade will ordinarily take effect at the next renewal unless otherwise stated.

A downgrade may reduce:

  • Available prompts or monitoring capacity;
  • Supported LLMs, platforms, countries, or regions;
  • Users or workspaces;
  • Processing frequency;
  • Reports, features, or exports;
  • Data availability or retention;
  • Integrations; or
  • Other plan entitlements.

You are responsible for bringing your usage within the limits of the downgraded plan before the downgrade takes effect.

If your account remains above the new limits, Geonome may, in its discretion:

  • Pause, archive, disable, or remove prompts;
  • Select which prompts or configurations remain active;
  • Restrict users or workspaces;
  • Disable features;
  • Reduce processing;
  • Remove or restrict access to excess resources; or
  • Apply other measures reasonably necessary to enforce the downgraded plan.

Where practical, we may allow you to select which resources should remain active. We are not responsible for consequences resulting from your failure to reduce usage before the downgrade takes effect.

5. Cancellation and Refunds

Cancellation by you

Organisation administrators may cancel a paid subscription using the cancellation method made available through Geonome or our merchant of record.

If self-service cancellation is unavailable, an organisation administrator may contact support@geonome.ai.

Cancellation stops future automatic renewal.

Unless otherwise stated:

  • Your paid access continues until the end of the subscription period already paid for;
  • Cancellation does not result in a prorated refund or credit for the remaining subscription period; and
  • Fees already paid are non-refundable except where these Terms or applicable law expressly provide otherwise.

Stopping use of the Services or deleting an application from your device does not by itself cancel a paid subscription.

Temporary interruptions

Temporary, intermittent, or partial interruptions do not automatically entitle you to a refund or extension.

This includes interruptions or failed processing involving:

  • Particular LLMs, platforms, sources, or providers;
  • Particular countries, regions, or languages;
  • Scheduled monitoring jobs;
  • Individual reports, metrics, or features;
  • Hosting, networks, infrastructure, or telecommunications; or
  • Maintenance, security work, or technical issues.

Material changes to paid functionality

We may modify, replace, restrict, or discontinue individual features or entitlements.

A change to an individual feature, LLM, platform, geography, source, metric, methodology, processing schedule, or usage entitlement does not automatically entitle you to a refund.

Where we determine that a permanent change materially reduces the core functionality of an existing paid plan, we may provide substitute functionality, capacity, credits, features, or other benefits of reasonably comparable value.

We may notify affected customers of the material change and any substitute entitlement.

If you do not wish to continue with the modified paid plan, you may request cancellation and a prorated refund of prepaid fees covering the unused portion of the current billing period. Your request must be received within 14 days after our notice of the material change.

If you do not request cancellation within that period, your subscription will continue with the modified plan and substitute entitlements.

Temporary or intermittent unavailability does not become a material permanent change merely because it continues for a particular number of days. We may take a reasonable period to investigate, restore, replace, or evaluate affected functionality.

Discontinuation of the paid service

If Geonome permanently discontinues the paid Services as a whole and ends your subscription during a prepaid billing period for reasons unrelated to your breach, we will provide a prorated refund of prepaid fees covering the unused portion of that billing period.

Refunds may be processed through our merchant of record and may be subject to reasonable processing time.

No refund for breach

If we suspend or terminate access because of:

  • A violation of these Terms;
  • Illegal, abusive, fraudulent, or harmful conduct;
  • A security risk;
  • Unauthorised access or resale;
  • Non-payment; or
  • Other misconduct attributable to you or your users,

you will not be entitled to a refund except where applicable law requires otherwise.

6. Service Availability and Changes

No service-level agreement

Unless we expressly agree otherwise in writing, the Services do not include a service-level agreement.

We do not guarantee:

  • Any minimum uptime;
  • Any response or support time;
  • That every scheduled processing job will succeed;
  • That monitoring will complete every day or at an exact time;
  • Any minimum processing-success rate;
  • Continuous availability of any particular LLM, platform, source, or geography; or
  • Error-free or uninterrupted operation.

We use commercially reasonable efforts to operate and maintain the Services, but outages, delays, failed jobs, incomplete monitoring, and other interruptions may occur.

Changes to the Services

We may add, modify, replace, restrict, suspend, or discontinue any part of the Services, temporarily or permanently.

Changes may affect, among other things:

  • Features and functionality;
  • Interfaces and workflows;
  • Metrics, calculations, and methodologies;
  • Supported LLMs and AI services;
  • Search platforms, sources, and providers;
  • Countries, regions, and languages;
  • Processing frequency and schedules;
  • Reports and exports;
  • Plans, pricing, and entitlements;
  • Usage and fair-use limits;
  • Integrations;
  • Data availability or retention functionality; and
  • Technical requirements.

We may make changes for any lawful business, technical, security, operational, commercial, compliance, provider-related, or other reason.

Where reasonably practicable, we will provide notice of a material change affecting an existing paid subscription. The refund provisions in Section 5 apply only where their stated conditions are met.

We do not guarantee the continued availability of any particular feature, provider, LLM, source, country, metric, methodology, or integration.

Third-party dependencies

The Services depend on third-party systems and information, including AI services, search platforms, websites, hosting providers, data-service providers, infrastructure, networks, and other technology.

A third party may:

  • Change or discontinue its service;
  • Alter its interface, output, policies, or technical behaviour;
  • Restrict access by geography, account type, authentication status, or other condition;
  • Introduce access controls or usage restrictions;
  • Block or delay requests;
  • Change the information it provides; or
  • Experience outages or security incidents.

Geonome may respond by modifying, replacing, restricting, or discontinuing affected functionality.

We are not responsible for the continued availability or conduct of third-party services.

7. Monitoring Results and Business Decisions

Geonome is designed to collect and present monitoring observations and analytics from supported AI and search experiences.

Results reflect responses observed at particular times, locations, configurations, accounts, and technical conditions.

Third-party AI systems are dynamic and may return different answers across:

  • Users;
  • Sessions;
  • Accounts;
  • Devices;
  • Locations;
  • Languages;
  • Dates and times; and
  • Other technical or contextual conditions.

Results may therefore not be identical or reproducible in every context and may change after collection.

Citations, sources, links, and publicly available information may also change, become unavailable, or contain errors originating outside Geonome.

Geonome does not guarantee:

  • Any particular improvement in AI visibility;
  • Rankings, citations, mentions, or source inclusion;
  • Website traffic;
  • Leads or conversions;
  • Revenue or profitability;
  • Marketing performance;
  • Customer acquisition;
  • Search-engine performance; or
  • Any other business outcome.

Reports, scores, comparisons, benchmarks, suggestions, and other outputs are provided for informational and analytical purposes.

You remain responsible for:

  • Reviewing and evaluating outputs;
  • Verifying information where appropriate;
  • Deciding whether and how to act on it;
  • Your marketing and business strategies; and
  • Any decisions, expenses, losses, or commitments based on the Services.

8. Customer Content

"Customer Content" means prompts, configurations, instructions, names, domains, URLs, files, feedback, and other materials submitted to the Services by or for you.

As between you and Geonome, you retain whatever rights you have in your Customer Content.

You grant Geonome a worldwide, non-exclusive, royalty-free licence to:

  • Host;
  • Store;
  • Copy;
  • Process;
  • Transmit;
  • Analyse;
  • Display;
  • Format;
  • Convert; and
  • Modify for technical and operational purposes

your Customer Content as reasonably necessary to provide, operate, maintain, secure, support, and troubleshoot the Services, enforce these Terms, comply with applicable law, and follow your instructions.

This licence lasts for as long as reasonably necessary to provide the Services and fulfil the purposes described in these Terms and our Privacy Policy.

You represent and warrant that:

  • You have the rights and authority necessary to submit Customer Content;
  • Our processing of Customer Content as permitted by these Terms will not violate another person's rights;
  • Customer Content and your instructions comply with applicable law; and
  • You will not submit prohibited or unnecessary sensitive personal information.

Aggregated and de-identified data

Geonome may analyse Customer Content and related service data to create aggregated, anonymised, or de-identified information that does not reasonably identify a natural person or reveal a specific customer's non-public use of the Services.

This does not prevent Geonome from analysing, measuring, benchmarking, or reporting on brands, organisations, products, competitors, domains, URLs, sources, citations, public webpages, platforms, models, countries, languages, categories, or other business entities that are part of the monitored subject matter or are otherwise publicly available.

Geonome may use, retain, disclose, and commercialise aggregated or de-identified information for:

  • Benchmarking;
  • Research;
  • Analytics;
  • Statistical analysis;
  • Industry and market insights;
  • Product and service improvement;
  • Security and performance analysis;
  • Developing new features, products, or services;
  • Publishing reports or trends; and
  • Other lawful business purposes.

Geonome owns its aggregated datasets, benchmark results, statistical outputs, methodologies, and materials created from aggregated or de-identified information, excluding identifiable Customer Content itself.

9. Reports, Outputs, and Geonome Intellectual Property

Subject to these Terms, you may use reports, dashboards, and exports generated for your account for your internal business purposes and, where applicable, in providing authorised services to your clients.

Outputs may contain or refer to:

  • AI-generated responses;
  • Citations;
  • Publicly available material;
  • Third-party websites;
  • Names, trademarks, or content owned by others; and
  • Information subject to third-party terms or rights.

Geonome does not transfer or grant rights in third-party material merely because that material appears in a report or output.

Geonome and its licensors own all rights, title, and interest in and to:

  • The Services;
  • Software and source code;
  • Interfaces and designs;
  • Workflows;
  • Databases and data structures;
  • Metrics and methodologies;
  • Report structures and visualisations;
  • Documentation;
  • Trademarks and branding;
  • Aggregated datasets and benchmarks; and
  • Other technology and materials created by Geonome.

Subject to these Terms, Geonome grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Services during your authorised subscription or access period.

Except where expressly permitted, you may not:

  • Copy, reproduce, modify, or create derivative works from the Services;
  • Reverse engineer, decompile, or attempt to discover source code;
  • Sell, resell, sublicense, rent, lease, or commercially exploit the Services;
  • Use the Services to build, train, or materially assist a competing product;
  • Remove proprietary notices;
  • Copy visual designs, report structures, metrics, or methodologies for use in a competing service; or
  • Use Geonome's name, logos, or trademarks without permission.

10. Feedback

If you provide ideas, suggestions, feature requests, or other feedback about the Services, you grant Geonome a perpetual, worldwide, irrevocable, royalty-free right to use, reproduce, modify, incorporate, and commercialise that feedback without restriction or compensation.

This does not transfer ownership of your Customer Content to Geonome.

11. Acceptable Use

You must use the Services responsibly and in compliance with applicable law.

You may not use the Services, directly or indirectly, to:

Break the law or harm others

  • Engage in illegal, fraudulent, deceptive, or abusive activity;
  • Violate intellectual-property, privacy, publicity, confidentiality, or other rights;
  • Harass, threaten, exploit, or harm another person;
  • Facilitate terrorism, human trafficking, child exploitation, or organised criminal activity;
  • Develop, obtain, transfer, or facilitate illegal weapons, chemical or biological agents, nuclear materials, or other prohibited hazardous materials;
  • Obtain instructions intended to facilitate serious wrongdoing;
  • Evade sanctions, export controls, court orders, regulatory restrictions, or other applicable legal requirements; or
  • Submit monitoring requests whose intended purpose is unlawful.

Circumvent safeguards or third-party restrictions

You may not use the Services in a manner intended to:

  • Circumvent safety systems, authentication, access controls, geographic restrictions, rate limits, or usage restrictions;
  • Cause Geonome or a relevant third-party service to violate applicable law;
  • Cause Geonome or a relevant third-party service to process prohibited or restricted monitoring requests;
  • Bypass restrictions imposed by an AI service, search platform, authority, or other relevant third party; or
  • Facilitate conduct prohibited by applicable rules governing the requested use.

Interfere with the Services

You may not:

  • Introduce malware, malicious code, or harmful content;
  • Phish for credentials or authentication tokens;
  • Probe, scan, or test vulnerabilities without written authorisation;
  • Interfere with the integrity, security, availability, or performance of the Services;
  • Overload systems or generate abusive traffic;
  • Attempt to bypass plan limits, rate limits, or usage controls;
  • Manipulate usage records or billing;
  • Share credentials in an unauthorised manner; or
  • Use bots or automation against Geonome except through functionality expressly provided or authorised by us.

Use unintended access methods

You may access the Services only through the interfaces, functionality, and access methods that Geonome intentionally makes available to you.

Unless expressly authorised in writing, you may not directly access, query, manipulate, or extract information from:

  • Underlying APIs;
  • Databases;
  • Storage systems;
  • Network endpoints;
  • Internal services;
  • Non-public interfaces; or
  • Other underlying components.

You may not circumvent frontend controls, reuse session credentials outside their intended context, inspect non-public endpoints for extraction, or obtain information through methods that the Services do not intentionally provide.

Resell or misuse access

Unless expressly permitted, you may not:

  • Resell raw platform access;
  • Sublicense the Services;
  • White-label the application;
  • Share an account between unrelated organisations;
  • Use a plan as a public or shared service;
  • Allow unauthorised third parties to access your organisation;
  • Extract data for resale as a substitute for the Services; or
  • Use the Services primarily to develop or operate a competing product.

Agency use permitted under Section 3 is not prohibited solely because an agency uses one subscription to provide authorised services to multiple clients, manages separate client workspaces, or shares authorised reports and exports with clients. All other restrictions in this section continue to apply to agencies.

Submit sensitive or prohibited information

You may not submit information that is unnecessary for the monitoring purpose and includes:

  • Government identification numbers;
  • Complete payment credentials;
  • Passwords or authentication secrets;
  • Health or biometric information;
  • Highly sensitive personal information;
  • Confidential personal records;
  • Information unlawfully obtained; or
  • Other information that Geonome states must not be submitted.

Fair use and unlimited features

References to "unlimited" users, workspaces, reports, or other features mean that no fixed self-service quantity is ordinarily charged or displayed for that feature.

Unlimited features remain subject to reasonable:

  • Technical limits;
  • Security controls;
  • Anti-abuse controls;
  • Fair-use limits;
  • Account-sharing restrictions;
  • Performance protections; and
  • Operational safeguards.

We may apply, adjust, or enforce limits where usage:

  • Is abnormal or substantially exceeds ordinary business use;
  • Is automated in an unauthorised manner;
  • Suggests account sharing, resale, or circumvention;
  • Threatens security or service performance;
  • Imposes disproportionate cost or operational burden;
  • Interferes with other users; or
  • Otherwise appears abusive or inconsistent with the intended plan.

You may contact support@geonome.ai to request a higher operational limit. We may approve, reject, condition, or modify a request after reviewing the intended use and resource requirements.

Public benchmarks

You may not publish misleading, manipulated, or materially non-reproducible performance, availability, security, or comparative test results about the Geonome platform, the Services, or their underlying systems.

A published benchmark must accurately disclose material testing conditions, including where relevant:

  • Methodology;
  • Configuration;
  • Date or testing period;
  • Plan;
  • Sample size; and
  • Material limitations.

A benchmark may not be produced by violating these Terms, bypassing controls, or using unauthorised access methods.

12. Enforcement of Acceptable Use

We may investigate suspected violations and may refuse, pause, or remove monitoring requests or Customer Content that we reasonably believe:

  • Violates these Terms;
  • Creates legal, security, or operational risk;
  • Could harm another person;
  • Could cause Geonome or a provider to violate applicable restrictions; or
  • Is otherwise unsuitable for processing through the Services.

We may suspend or terminate access without prior notice where we reasonably believe immediate action is necessary to:

  • Protect the Services or other users;
  • Prevent unlawful or harmful activity;
  • Address a security risk;
  • Comply with law or a lawful request; or
  • Prevent material operational damage.

We are not required to monitor all Customer Content or account activity.

13. Third-Party Services, Dependencies, and Content

The Services may rely on, connect to, link to, or display information from third-party systems, services, platforms, models, websites, authentication providers, infrastructure providers, data-service providers, and other technology.

Some third-party systems are used by Geonome to provide, operate, secure, or support the Services. Other third-party services, websites, integrations, accounts, or content may be accessed, connected, authorised, or used by you through the Services, outside the Services, or at your direction.

Third-party systems, services, and content are not controlled by Geonome and may be subject to their own terms, policies, restrictions, and availability.

Geonome is not responsible for:

  • Third-party services, platforms, models, integrations, websites, authentication providers, or content;
  • AI-generated answers, citations, source pages, search results, or public webpages;
  • Changes made by third parties;
  • The accuracy, availability, security, or continued operation of third-party systems or content;
  • The security or privacy practices of third parties;
  • Losses caused by third-party actions, omissions, outages, restrictions, access limitations, account actions, or policy changes; or
  • Continued compatibility with a third-party service, platform, model, source, authentication provider, or integration.

If you separately access, purchase, connect, authorise, or use a third-party service, website, integration, account, or content through the Services, outside the Services, or at your direction, your relationship with that third party is between you and the relevant third party.

14. Beta, Trial, and Free Services

We may offer beta, trial, experimental, preview, early-access, or free Services.

These Services may:

  • Be incomplete;
  • Contain errors;
  • Change frequently;
  • Have limited support;
  • Have reduced functionality;
  • Be subject to additional limits;
  • Produce incomplete or unsuccessful processing; or
  • Be discontinued at any time.

You use beta, trial, experimental, preview, early-access, and free Services at your own risk.

We may modify, restrict, suspend, or terminate these Services at any time, with or without notice and without any refund obligation.

15. Suspension and Termination

Termination by you

You may stop using the Services at any time.

Ending use does not cancel a paid subscription unless an organisation administrator completes the applicable cancellation process.

Suspension or termination by Geonome

We may restrict, suspend, or terminate your account, organisation, subscription, or access:

  • For a violation of these Terms;
  • For non-payment;
  • To prevent security, legal, or operational risk;
  • To investigate suspected misuse;
  • To comply with law or a lawful request;
  • If continued service is technically or commercially impracticable;
  • If we discontinue the Services;
  • For prolonged inactivity on free or trial accounts; or
  • For any other lawful reason.

Where reasonably practicable, we may provide notice before terminating an account without cause.

If we terminate a paid subscription without cause during a prepaid period, the refund provisions in Section 5 will apply.

Effect of termination

After termination or expiration:

  • Your right to use the Services ends;
  • We may disable account access;
  • Processing and monitoring may stop;
  • Customer Content may no longer be accessible;
  • You remain responsible for amounts already due; and
  • We may delete or retain information in accordance with our Privacy Policy, retention practices, and applicable law.

You are responsible for exporting information that you wish to retain before access ends.

We are not obligated to maintain or provide access to Customer Content after termination, except where required by applicable law.

16. Privacy

Our Privacy Policy explains how we collect, use, share, retain, and protect personal information.

By using the Services, you agree to our Privacy Policy.

If there is a conflict between these Terms and the Privacy Policy concerning the handling of personal information, the Privacy Policy will govern that issue.

17. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.

Geonome disclaims all warranties and conditions, whether express, implied, statutory, or otherwise, including implied warranties of:

  • Merchantability;
  • Fitness for a particular purpose;
  • Title;
  • Non-infringement;
  • Accuracy;
  • Availability;
  • Reliability; and
  • Satisfactory quality.

We do not warrant that:

  • The Services will meet your requirements;
  • Access will be uninterrupted, timely, secure, or error-free;
  • Every monitoring or processing job will succeed;
  • Errors or defects will be corrected;
  • Data or results will always be available;
  • Third-party services will remain accessible;
  • Outputs will be complete, current, accurate, or reproducible in every context; or
  • Use of the Services will produce any particular business result.

No advice or information obtained from Geonome creates a warranty unless expressly stated in a written agreement signed by Geonome.

Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

18. Limitation of Liability

Excluded losses

To the maximum extent permitted by applicable law, Geonome will not be liable for any:

  • Indirect loss;
  • Incidental loss;
  • Special loss;
  • Exemplary or punitive damages;
  • Consequential loss;
  • Loss of profits;
  • Loss of revenue;
  • Loss of business;
  • Loss of opportunity;
  • Loss of goodwill;
  • Loss of anticipated savings;
  • Loss or corruption of data;
  • Cost of substitute products or services; or
  • Similar loss or damage,

arising from or relating to the Services or these Terms.

These exclusions apply regardless of:

  • The legal theory asserted;
  • Whether the loss was foreseeable;
  • Whether Geonome was advised that the loss was possible; or
  • Whether a limited remedy fails of its essential purpose.

Specific excluded circumstances

Without limiting the above, Geonome will not be liable for loss or damage arising from or relating to:

  • Your use of, reliance on, or inability to use or access the Services;
  • Delayed, unsuccessful, incomplete, or unavailable monitoring or processing;
  • Inability to access, retrieve, reproduce, or use data, reports, results, or exports;
  • Loss, corruption, alteration, deletion, or unavailability of data;
  • Unauthorised access to or use of an account, credentials, data, or systems;
  • Decisions, actions, expenditures, campaigns, or strategies based on information obtained through the Services;
  • Business, marketing, legal, financial, or operational decisions made by you or another person;
  • Use of reports or exported information outside the Services;
  • AI-generated answers, citations, public content, websites, search engines, LLMs, or other third-party information;
  • Acts or omissions of customers, users, providers, platforms, or other third parties;
  • Availability, functionality, policies, restrictions, or conduct of third-party services;
  • Internet, telecommunications, hosting, infrastructure, network, or provider interruptions;
  • Governmental, regulatory, or platform restrictions;
  • Customer devices, systems, software, or integrations;
  • Failure to protect account credentials or correctly manage user access; or
  • Other systems, services, events, decisions, or circumstances outside Geonome's reasonable control.

Liability cap for paid Services

To the maximum extent permitted by applicable law, Geonome's total aggregate liability arising from or relating to paid Services, these Terms, or the relationship between you and Geonome will not exceed the fees actually paid by you for the affected Services during the three months immediately preceding the event giving rise to the claim.

The cap applies collectively to all claims arising from the same or related events and does not reset for each claim, user, theory, or remedy.

Free Services

To the maximum extent permitted by applicable law, Geonome will have no monetary liability arising from or relating to free Services.

If applicable law does not permit a complete exclusion of monetary liability, Geonome's total aggregate liability arising from or relating to free Services will not exceed US$10 or its equivalent in local currency.

The existence of this cap does not create an automatic right to payment. A claimant must still establish a valid legal claim, liability, and legally recoverable loss.

Exceptions

Nothing in these Terms excludes or limits:

  • Liability for fraud or wilful misconduct; or
  • Any liability that cannot lawfully be excluded or limited.

Any liability not validly excluded remains subject to the applicable liability cap to the extent permitted by law.

19. Indemnity

To the maximum extent permitted by applicable law, you will indemnify and hold harmless Geonome, its operator, affiliates, successors, personnel, and service providers from third-party claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable legal fees arising from or relating to:

  • Your Customer Content;
  • Your instructions or monitoring requests;
  • Your or your users' use of the Services;
  • A violation of these Terms;
  • A violation of applicable law;
  • Infringement or violation of another person's rights;
  • Agency use without sufficient client authority;
  • Your representations or commitments to clients;
  • Misuse by persons accessing the Services through your account; or
  • Your fraud, negligence, or wilful misconduct.

If we seek indemnity from you, we will provide notice of the relevant claim, demand, suit, or proceeding. A delay in notice will relieve your indemnity obligations only to the extent the delay materially prejudices your ability to defend the claim.

You will control the defence and settlement of an indemnified claim at your expense. We will reasonably cooperate with you in the defence, at your expense.

You must not settle a claim without our prior written consent if the settlement imposes any obligation on Geonome, admits wrongdoing by Geonome, does not fully release Geonome from liability, or may adversely affect Geonome's rights, reputation, business, or the Services.

If you fail to assume or diligently conduct the defence after reasonable notice, we may defend the claim ourselves and recover reasonable costs, expenses, and legal fees covered by your indemnity obligation.

20. Governing Law and Disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles.

Subject to any mandatory statutory rights or forums that cannot lawfully be excluded, the courts located in Bengaluru, Karnataka, India will have exclusive jurisdiction over disputes arising from or relating to:

  • These Terms;
  • The Services;
  • Your subscription;
  • Your account; or
  • The relationship between you and Geonome.

Before filing an ordinary contractual claim, the party raising the dispute must send written notice describing the issue and allow 30 days for the parties to attempt to resolve it informally.

This informal-resolution requirement does not prevent either party from seeking urgent injunctive or protective relief where delay could cause serious or irreparable harm.

Nothing in these Terms prevents a party from using a mandatory legal forum or remedy that applicable law does not permit the parties to exclude.

21. Changes to These Terms

We may update these Terms to reflect changes to:

  • The Services;
  • Our business or operating model;
  • Pricing or plans;
  • Technology or providers;
  • Legal or regulatory requirements;
  • Security or abuse risks; or
  • Other business practices.

For changes that do not materially reduce your rights or materially increase your obligations, updating these Terms and the "Last updated" date is sufficient notice.

For material changes, we will provide reasonable notice by:

  • Email;
  • A prominent notice within the Services; or
  • Another reasonable method.

We do not need to use more than one of these methods unless applicable law requires otherwise.

We may make an immediate change without advance notice where reasonably necessary for:

  • Legal or regulatory compliance;
  • Security;
  • Fraud or abuse prevention;
  • Urgent technical reasons; or
  • Protection of the Services or users.

Unless otherwise stated, updated Terms apply from the date specified in the notice or, where no separate date is specified, from publication.

If you do not agree to an updated version, you must stop using the Services and cancel any subscription before the updated Terms take effect.

Your continued use after the updated Terms take effect constitutes acceptance to the extent permitted by applicable law.

Price increases for existing subscriptions are governed by the separate notice rule in Section 4.

22. Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other that is identified as confidential or that a reasonable person would understand to be confidential given its nature and the circumstances of disclosure.

Confidential Information may include:

  • Customer Content and non-public reports;
  • Business, financial, commercial, and marketing information;
  • Product plans and strategies;
  • Pricing and non-public plan terms;
  • Security and technical information;
  • Software, methodologies, processes, and models; and
  • Other non-public information relating to a party's operations.

Confidential Information does not include information that the receiving party can demonstrate:

  • Is or becomes publicly available without a breach of these Terms;
  • Was lawfully known to the receiving party without confidentiality restrictions before disclosure;
  • Was lawfully received from a third party without a confidentiality obligation; or
  • Was independently developed without using the disclosing party's Confidential Information.

Each party will:

  • Protect the other party's Confidential Information using at least reasonable care;
  • Use it only as necessary to exercise rights or perform obligations under these Terms; and
  • Disclose it only to personnel, contractors, professional advisers, and service providers who reasonably need access and are subject to appropriate confidentiality obligations.

A party may disclose Confidential Information where required by applicable law, regulation, court order, or lawful governmental request. Where legally permitted and reasonably practicable, the receiving party will provide advance notice so that the disclosing party may seek protective measures.

These confidentiality obligations continue after termination for as long as the relevant information remains confidential.

23. General Terms

Assignment

You may not assign or transfer these Terms, your account, or your rights under the Services without our prior written consent.

Geonome may assign or transfer these Terms, in whole or in part, to:

  • An affiliate;
  • A successor;
  • An entity formed to own or operate the Services; or
  • A participant in an incorporation, restructuring, financing, merger, acquisition, or sale of the business or assets.

No partnership, employment, or agency

These Terms do not create a partnership, joint venture, employment, fiduciary, franchise, or agency relationship between you and Geonome.

Neither party may bind the other or make commitments on the other party's behalf unless expressly authorised in writing.

An agency's use of Geonome for clients does not make the agency an agent or representative of Geonome.

No third-party beneficiaries

These Terms are for the benefit of you and Geonome only.

Except where these Terms expressly state otherwise, no other person or entity, including an organisation's users, an agency's clients, or other third parties, has any right to enforce these Terms or claim any benefit under them.

Force majeure

Geonome will not be responsible for delay or failure caused by events outside its reasonable control, including:

  • Natural disasters;
  • Fire, flood, or severe weather;
  • War, terrorism, civil unrest, or governmental action;
  • Labour disputes;
  • Internet or telecommunications failures;
  • Hosting, infrastructure, or provider outages;
  • Cyberattacks;
  • Epidemics or public emergencies;
  • Power failures;
  • Third-party platform restrictions; or
  • Changes in law or regulation.

Notices

We may provide notices to you using:

  • The email address associated with your account;
  • An in-product message;
  • A notice on the Services; or
  • Another contact method you provide.

You are responsible for keeping your account email address current.

Notices to Geonome under these Terms should be sent to support@geonome.ai, unless another address is specified for a particular matter.

Entire agreement

These Terms, the Privacy Policy, plan details presented at purchase, and any additional written terms expressly agreed by Geonome form the entire agreement concerning the Services.

They replace prior discussions, understandings, or agreements concerning the same subject.

Order of precedence

If a written agreement signed by Geonome expressly conflicts with these Terms, the signed agreement will control to the extent of that conflict.

If there is an inconsistency within these Terms, the more specific provision will control over the more general provision for the subject matter of that inconsistency.

Otherwise, these Terms control over any inconsistent terms or statements in general marketing, promotional, website, product, help, documentation, or in-product materials, except where those materials are expressly incorporated into these Terms or presented as binding plan terms at purchase.

Where a merchant of record is used, the merchant of record's checkout, payment, tax, refund, chargeback, and transaction-administration terms may control those transaction matters.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law or modified to reflect its intended purpose as closely as legally possible.

The remaining provisions will continue in full force and effect.

No waiver

A failure or delay in enforcing a provision does not waive the right to enforce it later.

A waiver is effective only if made in writing by the party granting it.

Headings

Headings are provided for readability and do not affect the interpretation of these Terms.

Survival

The provisions that by their nature should continue after termination or expiration will survive, including provisions concerning:

  • Outstanding payments;
  • Customer Content licences required for permitted retention and processing;
  • Aggregated and de-identified information;
  • Geonome intellectual property;
  • Feedback;
  • Confidentiality;
  • Disclaimers;
  • Limitations of liability;
  • Indemnity;
  • Dispute resolution;
  • Governing law; and
  • General contractual provisions.
